Q16 · Approximately how much does a pharmaceutical licence cost? Are there also annual maintenance fees?Direct link
Government fees for a Hong Kong pharmaceutical licence are relatively low, but the main costs arise from the upfront investment needed to meet compliance requirements. Taking the most common type, a Wholesale Dealer Licence, as an example, under the Pharmacy and Poisons Regulations the application fee for a first application is HKD 1,030. If the application is approved, the licence issuance fee is HKD 2,150. The licence is usually valid for one year, and the annual renewal fee is HKD 2,150. For a “Listed Seller of Poisons” licence, the application fee is HKD 455, while the licence fee and annual fee are calculated according to the rateable value of the shop. These are government fees only. In practice, the greater costs include leasing and fitting out a warehouse or shop to GDP/GSP standards, establishing a compliant Quality Management System (QMS), salaries for qualified key personnel (such as a responsible person or pharmacist), and any consultancy fees. Total upfront investment should therefore be budgeted in detail according to the scale of the business.

📘 Regulatory basis

Schedule 7 to the Pharmacy and Poisons Regulations sets out in detail the statutory fees for licence applications and renewals. The government fees are reviewed and adjusted periodically by the Government.

📗 Drew Tang's recommendations

When budgeting, do not consider government licence fees alone. Treat compliance investment as part of your fixed operating costs. A sound financial plan can ensure that your business operates sustainably and compliantly after obtaining a licence, avoiding breaches caused by funding problems.

📕 Risk notice

The annual licence fee must be paid on time. If the licence is not renewed by the due date, it will lapse. Any regulated activity carried out while the licence has lapsed constitutes unlicensed business and may have serious consequences. Be sure to set up renewal reminders.

Q29 · If a company holding a pharmaceutical licence undergoes a shareholding change or director change, must it notify the Department of Health?Direct link
Yes, it must be notified. A pharmaceutical licence is issued to a specific corporate entity, and the regulatory authority pays close attention to the individuals who control and manage that entity. Any change that may affect the company's control or management must therefore be notified to the Drug Office, Department of Health, in a timely manner. For a “Wholesale Dealer Licence” or a manufacturer's licence, if the company's directors change or there is a significant change in its shareholding structure (for example, a change of controlling shareholder), the licence holder is responsible for notifying the Drug Office in writing within a reasonable time after the change. For a licence as an “Authorised Seller of Poisons (ASP)” (pharmacy), the licence is linked to a specific “Authorised Person” (usually the company itself) and the pharmacist responsible for management, so any change of director should be reported immediately. In addition, if a pharmacy business is transferred to another company, the new operator must apply for a new licence because licences are not transferable.

📘 Regulatory basis

Although the Pharmacy and Poisons Ordinance itself does not expressly require shareholding changes to be declared, this has become part of licence conditions and regulatory practice. Licence application and renewal forms will usually ask for the latest information about directors and shareholders.

📗 Drew Tang's recommendations

Before any corporate restructuring, equity financing or M&A transaction, compliance notifications should form part of the transaction process. We recommend proactively submitting written notification and the latest company search report to the Drug Office within one month of completion of the transaction, to maintain a good compliance record.

📕 Risk notice

Deliberately concealing a change in company control may be regarded by regulators as the provision of false or misleading information, affecting the validity of the licence. If discrepancies between company information and records are discovered during renewal, the renewal application may be delayed or even refused.

Q44 · 如果我持有的药牌即将到期,续牌的流程是怎样的?独立链接
Renewal of a pharmaceutical licence is an important procedure that must be completed on time to ensure the lawful continuity of your business. Usually, the Drug Office, Department of Health will mail the renewal application form to the registered address on its records about two to three months before your licence expires. You need to complete the form, update basic company information (such as any changes to directors or the Person-in-Charge), and return it by post or submit it in person to the Drug Office before the licence expires, together with a cheque for the specified renewal fee. The Department will review the application. For higher-risk licences, such as wholesaler or manufacturer licences, it may arrange a re-inspection before deciding on renewal. If all documents are complete, the fee has been paid and the company has a good compliance record, renewal will usually proceed smoothly. The new licence will be mailed to you.

📘 Regulatory basis

The validity period and renewal requirements for licences are expressly set out in the Pharmacy and Poisons Regulations. Renewal fees are listed in Schedule 7 to the Regulations.

📗 Drew Tang's recommendations

Be sure to keep the correspondence address registered with the Department of Health up to date so that you do not miss a renewal notice. We recommend setting up an internal licence management calendar and starting renewal preparations at least three months in advance. Do not leave it until the last minute.

📕 Risk notice

Failure to submit a renewal application or pay the fees on time will cause the licence to expire automatically on its expiry date. Any regulated activity carried out after the licence expires constitutes the serious offence of unlicensed operation. Even a delay of only a few days may require a completely new application, making the process much more complicated.

Q54 · What specific requirements, such as area and facilities, apply to my warehouse when applying for a wholesale dealer licence?Direct link
The Hong Kong Department of Health has not specified a minimum area for a warehouse used for a “wholesale dealer licence” application. The key requirement is that the warehouse design and facilities must ensure the quality and safety of medicines. Specifically, the warehouse must have sufficient space for orderly storage and operations to avoid mix-ups and cross-contamination. It must also have effective temperature and humidity control and monitoring systems to ensure that storage conditions meet the requirements on medicine labels, particularly for medicines requiring refrigeration. Adequate security measures, such as burglar alarms and access controls, must be in place to prevent unauthorised access. Storage areas must be clearly separated from office, receiving and dispatch areas. Finally, appropriate facilities must be available to handle returned, expired or recalled medicines, with a dedicated quarantine area.

📘 Regulatory basis

The Code of Practice for Licensed Wholesale Dealers sets out detailed requirements for storage management, covering premises, equipment, temperature control, security and hygiene procedures. Department of Health officers will inspect strictly in accordance with this code during on-site audits.

📗 Drew Tang's recommendations

We recommend that clients choose warehouse space that allows flexible zoning. Before fitting out the premises, it is best to submit the design drawings to us or consult the Department of Health directly for preliminary acceptance before proceeding with the works. Start-ups may consider using a qualified third-party logistics (3PL) provider, which can greatly reduce initial capital investment and management complexity.

📕 Risk notice

Inadequate warehouse conditions are one of the most common reasons for an application to be delayed or refused. This is particularly true of temperature and humidity control: if records are incomplete or equipment is unstable, the assessment cannot be passed. After a licence is granted, failure to maintain compliant storage conditions on an ongoing basis may also cause difficulties at renewal.

Q68 · 各种牌照的有效期是多久?续期时需要注意什么?独立链接
In Hong Kong, most pharmaceutical licences issued by the Department of Health, including wholesale dealer licences, Authorised Seller of Poisons (pharmacy) licences and Listed Seller of Poisons (dispensary) licences, are usually valid for one year. You must apply for renewal before the licence expires to ensure business continuity. Renewal is not automatic: the Department of Health will reassess your compliance. It may ask you to submit up-to-date documents and may even conduct a site inspection to confirm that your operations have remained compliant with all regulatory requirements over the past year. For manufacturer licences, renewal is usually accompanied by a comprehensive GMP reassessment audit.

📘 Regulatory basis

The validity periods and renewal requirements for the various licences are expressly set out in the Pharmacy and Poisons Regulations (Cap. 138A) and the Chinese Medicine Regulation. If a licence is not renewed by its expiry date, it will automatically lapse, and continuing to operate will amount to unlicensed operation.

📗 Drew Tang's recommendations

We provide licence management services to all clients, proactively reminding you three months before your licence expires and assisting with preparation of the documents required for renewal. Before renewal, we will conduct an internal mock assessment for you, checking for issues in recordkeeping, personnel qualifications, facility maintenance and other areas so that they can be rectified in advance. RGYS may assist with document preparation and project coordination within the written scope of services; personnel qualifications, statutory roles and professional judgments are to be verified and assumed by the respective responsible parties, and approval is decided independently by the competent authority.

📕 Risk notice

Do not wait until the last minute to submit a renewal application. If processing is delayed because information is incomplete or an on-site inspection is required, there may be a gap in your licence coverage, forcing your business to suspend operations. In addition, any record of non-compliance during the past year may adversely affect renewal.

Q84 · 持牌“批发商”的“负责人”(Responsible Person, RP)具体需要承担哪些责任?独立链接
For a licensed medicine wholesaler, the “Responsible Person” (RP) is a key management role. Although its statutory requirements are not as strict as those for a manufacturer's Authorised Person (AP), the responsibilities remain significant. The RP's main duty is to ensure that the company's day-to-day operations, particularly activities relating to medicine quality, fully comply with the Code of Practice for Wholesale Dealers in Medicines and relevant legislation. Specifically, the RP is responsible for managing and overseeing the effective operation of the company's Quality Management System (QMS), including approving and managing Standard Operating Procedures (SOPs), ensuring that all staff receive appropriate training, overseeing the procurement, storage, sale and transport of medicines, handling customer complaints and product recalls, and ensuring that all records are accurate and complete. The RP is the company's main contact with the Department of Health and has primary responsibility for the company's compliance.

📘 Regulatory basis

The Code of Practice for Licensed Wholesale Dealers describes in detail the expectations and responsibilities of management and the “person-in-charge”, emphasising their central role in maintaining the quality of the medicine supply chain.

📗 Drew Tang's recommendations

Although the regulations do not prescribe formal academic qualifications for an RP, we strongly recommend appointing a senior manager with a background in pharmacy or life sciences, or extensive experience in the pharmaceutical industry. A competent RP can not only ensure the company’s compliance but also improve operational efficiency and market reputation by establishing an effective quality system. We can help train your RP to ensure that they fully understand their responsibilities.

📕 Risk notice

The RP cannot be a nominal appointee. During a Drug Office inspection, inspectors will interview the RP directly to assess their understanding and control of the company's quality system. If the RP cannot answer questions or the quality system has serious deficiencies, the Drug Office may consider the company to lack effective management. This may hinder licence renewal or even lead to suspension.

Q100 · 获得牌照后,是否就一劳永逸了?我还需要持续做什么?独立链接
Obtaining a licence is only the beginning of compliant business operations; it does not mean you can take things for granted. Holding a licence means that you undertake to comply with all relevant laws, regulations and codes of practice on an ongoing, day-to-day basis. You will need to carry out substantial ongoing compliance work, including: 1. **Record-keeping**: You must maintain complete, accurate and traceable records of every stage of medicine procurement, storage, sale and distribution, and retain them for the specified period. 2. **Staff training**: You must ensure that all employees involved in handling medicines receive initial and ongoing training appropriate to their duties. 3. **Facility maintenance**: You must maintain your premises and equipment regularly, particularly temperature and humidity control systems and security systems, to ensure they continue to operate effectively. 4. **Self-review**: You should conduct internal audits or self-inspections regularly to identify and correct potential compliance issues proactively. 5. **Inspections**: You must be ready at all times for routine or unannounced inspections by the Department of Health and cooperate fully.

📘 Regulatory basis

All relevant codes of practice, such as the Code of Practice for Wholesale Dealers in Pharmaceutical Products and the Code of Practice for Pharmacy, emphasise the importance of ‘ongoing compliance’. Whether a renewal application is approved depends directly on your compliance record over the preceding year.

📗 Drew Tang's recommendations

We view compliance as a dynamic, lifecycle-based management process. We provide clients with annual compliance consultancy services, not merely to help you obtain a licence, but more importantly to help you maintain a high level of compliance after the licence is granted through regular compliance reviews, staff training and regulatory updates. This allows you to focus on business development with confidence, without being distracted by complex compliance matters.

📕 Risk notice

“Focusing on applications and neglecting maintenance” is a common mistake among licence holders. They assume that obtaining a licence is the end of the matter and relax their day-to-day management. However, oversight by the Department of Health is ongoing. One unsatisfactory inspection could result in additional licence conditions, suspension or even revocation, undoing all your previous investment.

Q149 · 药品批发商的负责人员(RP)或药房的注册药剂师,是否必须是香港永久性居民?独立链接
Not necessarily. Hong Kong’s medicines regulatory legislation does not make Hong Kong permanent residency a statutory requirement for appointment as an RP or registered pharmacist. Any non-permanent resident holding a valid Hong Kong work visa may take on these key roles, provided that they meet the relevant professional qualification, academic and experience requirements and pass the regulatory authority’s review or approval (such as a PPB interview or pharmacist registration). For example, a pharmacist holding a foreign passport may be employed by a pharmacy if they pass the Hong Kong licensing examination and are successfully registered. Similarly, a foreign expert holding a work visa may be appointed as the RP of a medicine wholesaler if they have the required experience and knowledge. What matters is their professional competence and lawful work status, not their category of residency.

📘 Regulatory basis

Neither the Pharmacy and Poisons Ordinance nor the Pharmacists Registration Ordinance restricts the residency status of key personnel. Hong Kong’s Immigration Ordinance sets out the visa requirements for non-local residents working in Hong Kong.

📗 Drew Tang's recommendations

For clients wishing to employ overseas professionals in key positions, we provide a one-stop service. We not only help assess whether their professional qualifications meet the requirements for pharmaceutical licences, but also assist them in applying to the Immigration Department for an employment visa. We will prepare strong supporting documents explaining the necessity of the position and the candidate’s unique qualifications.

📕 Risk notice

When employing non-local residents, ensure that applications for their work visas and visa renewals are fully compliant. If a key person’s visa becomes invalid during the licence application or while the licence is held, preventing them from working lawfully in Hong Kong, the company will immediately become non-compliant, with the same consequences as if the key person had left.

Q150 · 为了维持资格,负责人员(RP)和注册药剂师是否有持续专业发展(CPD)的强制要求?独立链接
Yes, continuing professional development (CPD) is essential to maintaining the professional standards and qualifications of key personnel. The Pharmacy and Poisons Board (PPB) has implemented a mandatory CPD programme for registered pharmacists. Pharmacists must complete the prescribed number of CPD credits within a specified cycle (for example, three years) in order to renew their practising certificates. CPD activities take various forms, including attending academic lectures and seminars, completing online courses and publishing research. Although there is currently no mandatory credit system for RPs of pharmaceutical wholesalers and manufacturers as there is for pharmacists, “continuing training” is a basic requirement of Good Distribution Practice/Good Manufacturing Practice (GDP/GMP). Licensed companies are responsible for providing RPs with ongoing training on regulatory updates, new technologies and industry best practices, and for keeping all training records. During inspections, the regulatory authority will assess whether the RP's knowledge is up to date.

📘 Regulatory basis

The Pharmacy and Poisons Board website sets out the CPD requirements for registered pharmacists. The Code of Practice for the Guidance of Authorised Persons and GMP guidelines also emphasise the responsibility to provide “continuous training” for all key personnel.

📗 Drew Tang's recommendations

We recommend that all licensed companies establish annual training plans for key personnel and allocate budgets to support their participation in high-quality CPD activities. We also regularly hold seminars on regulatory updates and compliance topics to help our clients meet these evolving requirements and provide certificates of attendance for their records.

📕 Risk notice

For pharmacists, failure to complete CPD credits will directly prevent renewal of their practising certificates, resulting in loss of the right to practise. If an RP’s knowledge becomes outdated and fails to keep pace with regulatory and technical developments, they will be unable to perform their supervisory duties effectively. Regulatory authorities may regard this as a significant compliance risk that could affect the company’s licence renewal.

Q227 · 药品牌照的续期(Renewal)流程是怎样的?会像首次申请一样复杂吗?独立链接
The renewal process for a pharmaceutical licence is much simpler than the first-time application, provided your company has maintained a good compliance record throughout the licensing period. Pharmaceutical licences in Hong Kong are usually valid for one year. You need to submit a renewal application to the Department of Health within a period before the licence expires (usually 1–3 months). The renewal application must be made on the prescribed form, with the relevant renewal fee paid. Unlike a first-time application, you generally do not need to resubmit the full set of company documents or SOPs, unless your company has undergone a significant change in the past year, such as moving premises or changing the Person-in-Charge. When reviewing renewal applications, the Department of Health will focus on your compliance over the past year, including whether there have been any breaches or warning letters, and your performance during previous spot checks. If your record is good, renewal will usually be approved smoothly without another full on-site inspection.

📘 Regulatory basis

The Pharmacy and Poisons Regulations contain provisions on licence validity and renewal. The Department of Health will decide whether to approve a renewal based on the licence holder’s overall compliance during the licence period.

📗 Drew Tang's recommendations

We provide “worry-free renewal” services to our annual service clients. We will remind you in advance to start the renewal process, prepare all renewal documents for you and ensure that you do not miss any deadlines. More importantly, we provide ongoing compliance advice throughout the year to help you maintain an excellent compliance record, so that each renewal is simply an administrative procedure rather than a new test.

📕 Risk notice

The risk is a “poor compliance record”. If you commit repeated breaches while licensed, or serious issues are found during a surprise inspection by the Department of Health, your renewal application will face considerable challenges. The Department may require comprehensive corrective action and may even convene a hearing to decide whether to revoke your licence. Ongoing compliance is therefore fundamental to ensuring smooth renewal year after year.

Q232 · 申请“列载毒药销售商”(Listed Seller of Poisons)牌照的审批程序与药房有何不同?独立链接
Applying for a “Listed Seller of Poisons” (LSP) licence usually refers to what are commonly known as a “dispensary” or “drug shop”. Its approval process and scope of business differ significantly from those of an “Authorised Seller of Poisons” (Pharmacy). The key distinction is that an LSP may sell only Part II poisons in the First Schedule (commonly called “P2 medicines”, such as some painkillers and cold medicines), and may not sell prescription medicines or P1 medicines that require pharmacist supervision. Although an application must also be submitted to the Department of Health and the premises are subject to an on-site inspection, the requirements are relatively less stringent. A registered pharmacist does not need to be present on the premises, but staff must have received appropriate training. The premises must have a dedicated locked cabinet for storing P2 medicines, which must not be displayed where customers can help themselves. The focus of approval is to ensure that the applicant can store and sell these restricted non-prescription medicines safely.

📘 Regulatory basis

The Pharmacy and Poisons Regulations set out clear requirements for Listed Sellers of Poisons’ qualifications, premises conditions and sales methods. For example, they provide that such shops must renew their licences every January.

📗 Drew Tang's recommendations

For clients wishing to enter pharmaceutical retail but currently unable to engage a registered pharmacist, applying for a Listed Seller of Poisons licence is a good starting point. We will guide you on fitting out your shop correctly and installing compliant lockable cabinets, and provide your employees with training on the regulations governing sales of P2 medicines. RGYS may assist with document preparation and project coordination within the written scope of services; the respective responsible parties must verify personnel qualifications and statutory roles and take responsibility for professional judgements, while approval is determined independently by the competent authority, for lawful operation.

📕 Risk notice

The greatest risk is “selling beyond the permitted scope”. Some pharmacy owners may illegally sell P1 medicines requiring pharmacist supervision or prescription medicines for profit. This is a very serious offence. If discovered through a test purchase or inspection, the licence may be revoked immediately and the operator may face imprisonment. The permitted scope of business must be followed strictly.

Q249 · 我的申请获批后,牌照的有效期是多久?我需要提前多久准备续期?独立链接

📘 Regulatory basis

The Pharmacy and Poisons Regulations set out the validity period and renewal requirements for licences. Licence holders are responsible for proactively and promptly renewing their licences to maintain their lawful operating status.

📗 Drew Tang's recommendations

For our annual service clients, licence renewal is a basic part of our service. We will maintain a renewal calendar and remind you automatically at the right time, as well as prepare all renewal documents for you to sign. We will handle all submissions and follow-up work to ensure continuity of your licence, so you do not need to worry about it.

📕 Risk notice

The greatest risk is “forgetting to renew”. This may sound unbelievable, but it can happen amid busy business operations. Once your licence expires without renewal, you must immediately cease all licensed activities. Reactivating the licence may require a process more complicated than a normal renewal and may even require a new on-site inspection. This can seriously disrupt and damage your business.

Q251 · 申请香港药剂制品批发商牌照,需要支付哪些主要的政府费用?独立链接
To apply for a pharmaceutical product wholesale dealer licence in Hong Kong, you must pay two basic government fees to the Drug Office, Department of Health. First, the “application fee” is HKD 1,030 under the current requirements. This fee is paid when you submit your application documents and covers the administrative costs of assessing your eligibility and documents. Second, after your application receives in-principle approval, you must pay a “licence fee” of HKD 2,150 before the Department of Health formally issues the licence. These two fees are statutory basic costs and form the initial financial threshold for obtaining a licence.

📘 Regulatory basis

The relevant fees are expressly set out in Schedule 3 to the Pharmacy and Poisons Regulations (Cap. 138A of the Laws of Hong Kong). The Schedule details the statutory fees for various applications, registrations and renewals relating to pharmacy and poisons.

📗 Drew Tang's recommendations

Please regard the application fee of HK$1,030 and the licence fee of HK$2,150 as just the “tip of the iceberg” of start-up costs. Our experience at Rengangyongsheng (Hong Kong) Limited shows that the actual financial investment required is far greater. You must set aside sufficient funds in your budget for professional consultancy services, compliant warehouse rental, establishment of a Quality Management System (QMS) and legal advice.

📕 Risk notice

Please note that the application fee paid is non-refundable, whether or not your application is successful. Therefore, before submitting an application, we strongly recommend seeking professional assistance to ensure that all documents and preparations meet the Department of Health’s stringent standards and avoid unnecessary financial loss due to omissions.

Q254 · 我计划申请中药材零售商牌照,其政府收费与西药牌照有何不同?独立链接
Government fees for an application to retail Chinese herbal medicines differ from those for Western medicine licences. Applications are handled by the Chinese Medicines Board under the Chinese Medicine Council of Hong Kong (CMCHK). Specifically, the application fee for a Chinese herbal medicine retailer licence is HK$770, and the issue fee upon successful approval is HK$1,160. By comparison, the application and issue fees for a Wholesale Dealer Licence are HK$1,030 and HK$2,150 respectively. Although government fees alone make Chinese medicine licences appear slightly less expensive, this does not mean the overall start-up costs are lower; other investments remain the main expenses.

📘 Regulatory basis

The relevant fees are prescribed in the subsidiary legislation, the Chinese Medicines Regulations, under the Chinese Medicine Ordinance (Cap. 549 of the Laws of Hong Kong). The Regulations list the statutory fees for applications, renewals and other matters relating to the different Chinese medicine business licences, including retail, wholesale and manufacture.

📗 Drew Tang's recommendations

Although government fees vary, when preparing your budget you should focus on common major expenses such as shop rent, storage facilities that comply with the Hong Kong Chinese Materia Medica Standards, including protection against damp and insect infestation, staff training and the cost of engaging Chinese medicine professionals. These are the key factors determining your total investment.

📕 Risk notice

Do not underestimate the complexity and funding requirements of starting a Chinese herbal medicine retail business because government licence fees are low. Quality control, traceability management and storage conditions for Chinese herbal medicines are subject to stringent requirements. Insufficient investment in these areas may not only result in the licence application being rejected, but could also lead to severe legal penalties for selling substandard herbal medicines.

Q255 · 牌照续期是否需要付费?西药和中药牌照的续期费用分别是多少?独立链接
Yes, all pharmaceutical and Chinese medicine licences are non-permanent and must be renewed periodically, with the applicable fees paid. For western medicine licences, such as a pharmaceutical product wholesaler licence, the annual renewal fee is 2,150 units, the same as the initial issue fee. An annual fee must also be paid each year for an Authorised Seller of Poisons (ASP) (pharmacy) licence. For Chinese medicine licences, such as a retail licence for Chinese herbal medicines, the annual renewal fee is 1,160 units. These renewal fees are necessary ongoing expenses for maintaining your lawful right to operate and must be paid on time.

📘 Regulatory basis

Renewal fees for Western medicine licences are specified in the Third Schedule to the Pharmacy and Poisons Regulations (Cap. 138A). Renewal fees for Chinese medicine licences are specified in the Chinese Medicine Regulation (subsidiary legislation under Cap. 549). The regulatory authorities review these fees periodically and may adjust them.

📗 Drew Tang's recommendations

We strongly recommend setting up a “compliance calendar” that clearly marks important dates, such as licence renewal dates and payment deadlines. The Drug Office or Chinese Medicines Board usually sends renewal notices in advance, but as the licence holder, you remain ultimately responsible for ensuring timely renewal. Include this annual expense as a fixed item in your annual financial budget.

📕 Risk notice

Failure to pay the renewal fee on time will cause the licence to expire automatically. Once the licence has expired, you must immediately stop all related pharmaceutical business activities; otherwise, your operations will be illegal. Reapplying for a licence is time-consuming and demanding, and may involve more stringent scrutiny. Any delay could therefore have a disastrous impact on your business.

Q266 · 我的药品批发业务年营业额预计在500万港元,那么我的年度合规维护成本大概是多少?独立链接
Annual ongoing compliance costs do not have a direct linear relationship with turnover; they depend more on the complexity of your business and the professional capabilities of your internal team. These costs mainly include: 1. Licence renewal fees, which are fixed annual fees paid to the government. 2. Quality Management System (QMS) maintenance costs, which may include engaging external consultants for annual audits, document updates and internal training. 3. Continuing Professional Development (CPD) costs for mandatory in-service training for your pharmacist or other key personnel. 4. Equipment calibration and validation costs, for items such as temperature and humidity meters and refrigerated cabinets requiring regular calibration by recognised organisations. 5. External audit and legal advisory fees. For a small or medium-sized wholesaler with annual turnover of HKD 5,000,000 and no dedicated internal compliance manager, we estimate that annual ongoing compliance costs may range from HKD 50,000 to HKD 150,000.

📘 Regulatory basis

The Department of Health’s Guide to the Licensing of Wholesale Dealers of Pharmaceutical Products emphasises that obtaining a licence is only the beginning; licence holders have an ongoing responsibility to ensure that their operations comply with all requirements at all times. The regulatory authority conducts regular routine inspections and unannounced inspections to ensure ongoing compliance.

📗 Drew Tang's recommendations

We recommend that clients take up an “annual compliance service package”. For a fixed annual fee, a professional organisation such as Rengangyongsheng (Hong Kong) Limited can handle all your licence renewals, arrange necessary training and calibration, and provide timely regulatory updates and advice. This turns uncertain compliance costs into predictable fixed expenditure, allowing you to focus more on business development.

📕 Risk notice

Neglecting ongoing compliance maintenance is a ‘boiling frog’ risk. Minor day-to-day lapses, such as incomplete records or equipment not being calibrated on time, can accumulate into major non-compliances during a regulatory inspection, leading to fines, warning letters or even licence suspension. Maintaining compliance is much easier than obtaining a licence again.

Q394 · 我们的牌照即将到期,续牌的流程是怎样的?需要提前多久开始准备?独立链接
Medicine-related licences, such as wholesaler and manufacturer licences, are not valid indefinitely and must be renewed periodically. The renewal process is generally as follows: about 3–4 months before the licence expires, the Department of Health will send a renewal application form. You need to complete it, confirm that there have been no unapproved changes to the company’s registration details, key personnel or premises address, and return it to the Department of Health with the specified renewal fee. After receiving the application, the Department of Health may decide whether to conduct an on-site inspection before renewal, based on a risk assessment. If the company has a good compliance record and there have been no significant changes, renewal will generally proceed smoothly. Once approved, the Department of Health will issue a new licence. You should start preparing for renewal at least 3 months before expiry, allowing sufficient time to address any issues that may arise.

📘 Regulatory basis

The validity periods and renewal requirements for the various pharmaceutical licences are set out in their respective legislation (such as the Pharmacy and Poisons Ordinance and the Chinese Medicine Ordinance) and licence conditions.

📗 Drew Tang's recommendations

Do not leave renewal matters until the last minute. We recommend that clients conduct an internal review as soon as they receive the renewal notice, to ensure that all registered particulars are up to date and that all changes made during the previous licence cycle (such as a change of Person-in-Charge) have been notified to the Drug Office as required and approved. Discovering an unnotified change only when submitting the renewal application may complicate the process.

📕 Risk notice

Failure to renew your licence on time will cause it to expire. Once it has expired, you must immediately stop all relevant licensed activities, such as wholesale, manufacture or retail of medicines. Otherwise, you will be operating without a licence, which is a serious criminal offence. Reapplying for a licence is a lengthy and complicated process, far more difficult than renewing on time. Licence renewal must therefore be treated as a top priority for the company’s operations.

Q401 · 我的西药批发商牌照即将到期,具体的续期流程是怎样的?独立链接
An application to renew a Wholesale Dealer Licence should be submitted within the 3 months before the licence expires, but no later than the expiry date. You must submit the designated renewal application form to the Drug Office, Department of Health, together with relevant documents, such as a copy of the company’s Business Registration Certificate, the company’s annual return and payment of the renewal fee. The Drug Office will review your application and may arrange an on-site inspection to ensure that your business operations, premises and facilities, and Quality Management System still meet licensing requirements. The renewal process usually takes several weeks. We recommend preparing early to avoid disruption to your business if the licence expires.

📘 Regulatory basis

Under section 18 of the Pharmacy and Poisons Regulations (Cap. 138A), licence holders must apply for renewal in the prescribed manner before the licence expires.

📗 Drew Tang's recommendations

RGYS may assist with document preparation and project coordination within the written scope of services; the respective responsible parties must verify personnel qualifications and statutory roles and take responsibility for professional judgements, while approval is determined independently by the competent authority. Experience tells us that all documents must be prepared in advance, particularly records of updates to the quality management system (QMS). The Drug Office has extremely stringent requirements for document completeness and compliance, and any omission may delay approval.

📕 Risk notice

If your licence is not successfully renewed before its expiry date, it will lapse. Continuing to operate a wholesale business in Western medicines will constitute unlicensed operation, which is a criminal offence and may result in a substantial fine or even imprisonment.

Q402 · 如果错过了续期申请的截止日期,还有补救措施吗?独立链接
If you miss the deadline for submitting a renewal application before the licence expires, the licence will automatically expire. There is no statutory grace period or remedial period. You must immediately stop all relevant licensed activities. The only option is to submit a completely new licence application, not a renewal application. This means going through the entire application process again, including submitting all initial application documents and undergoing rigorous review and an on-site inspection. This is not only time-consuming and demanding, but your business will also come to a complete standstill until a new licence is granted, causing substantial commercial losses.

📘 Regulatory basis

The Pharmacy and Poisons Ordinance (Cap. 138) clearly requires businesses to be licensed. A licence becomes invalid as soon as it expires, and there is no statutory remedy.

📗 Drew Tang's recommendations

To avoid this situation, we strongly recommend setting multiple reminders and starting renewal preparations 4-5 months before expiry. Rengangyongsheng (Hong Kong) Limited can provide licence management services and proactively follow up on your renewal to help ensure nothing is overlooked.

📕 Risk notice

Continuing business after a licence has lapsed is regarded as unlicensed business. Under Cap. 138, upon conviction, the maximum penalty is a fine of HKD 100,000 and imprisonment for 2 years. Do not take the risk.

Establishing an effective compliance risk-prevention system is fundamental to a pharmaceutical wholesaler's continued operation. First, appoint an independent compliance manager or team to oversee all business activities. Second, develop detailed written Standard Operating Procedures (SOPs) covering the entire process from procurement, receipt and storage to picking, packing and transport, and ensure all staff are trained accordingly. Third, establish a comprehensive record-keeping system so that the movement of every pharmaceutical product is clearly traceable. Fourth, conduct regular internal audits and risk assessments to identify and rectify potential compliance gaps proactively. Finally, work closely with professional consultants such as Rengangyongsheng (Hong Kong) Limited to obtain the latest regulatory updates and compliance guidance.

📘 Regulatory basis

The Department of Health’s Good Distribution Practice (GDP) for Wholesale Dealers in Pharmaceutical Products provides a detailed framework and requirements for establishing a compliant system.

📗 Drew Tang's recommendations

Do not treat compliance as a burden. Instead, view it as an opportunity to improve corporate management and core competitiveness. A robust compliance system can earn the trust of customers and regulatory authorities and safeguard long-term development.

📕 Risk notice

Neglecting to establish a compliance system may result in an unsatisfactory rating during a routine Department of Health inspection, even if no serious non-compliance has occurred, which could affect licence renewal. Remedial action after a problem arises will be much more costly.
