Discuss your business arrangements

Business scope

A WDL applies to wholesale trading in poisons and/or pharmaceutical products in Hong Kong. Check antibiotics, dangerous drugs, product registration and the import or export licence required for each consignment separately; a WDL does not automatically replace them.

Applicant entity

The current checklist covers limited companies, sole proprietorships and partnerships. There is no official conclusion setting a uniform minimum capital, minimum area or requirement that the business must be a limited company.

Personnel and qualifications

An approved PIC is required; where pharmaceutical products are traded, the PIC is also the GDP RP. A registered pharmacist is a specific requirement for transactions involving listed psychotropic substances and certain dangerous drugs, not a general requirement for every WDL. A manufacturer’s AP is not the same as a WDL PIC/RP.

Premises and storage

The premises and storage facilities must be lockable, suitable for the products’ storage conditions and approved. Changes to the address, an additional warehouse, storage layout or facilities must follow the information-change and approval process.

Capital and budget

The authorities have not specified a fixed minimum capital. Budget separately for government fees, premises and equipment, GDP validation/calibration, outsourcing and professional services.

Project timeline

The official two-month service target applies only to applications with complete documentation and adequate, satisfactory storage facilities; it is not a guarantee of processing within two working months, unconditional approval or a project timetable with a fixed start date.

PREPARATION

Key documents

  • Applicant entity, Business Registration, personnel and authorisation documents
  • Evidence of products, supply chain, registration / trade licences and storage conditions
  • Premises / warehouse plans, equipment, temperature and humidity, calibration and validation documents
  • GDP Quality Manual, SOPs, records, training, self-inspection, outsourcing and recall evidence
  • Change notifications, renewals, transaction records and record-retention registers
OPERATING VALUE

Planning priorities

  • Establish a compliant pharmaceutical supply chain
  • Integrating pharmaceutical import and export operations
  • Support customer and regulatory reviews with traceable records

Post-licence maintenance: A WDL is an annual licence. Changes to directors / proprietors / partners must be notified in writing within one month. Changes to the PIC / DPIC / PIC for dangerous drugs and changes to the address / warehouse / storage facilities are subject to different procedures requiring prior application and approval, as applicable.

Official information checked2026-10-31

This guide has been prepared by Rengangyongsheng (Hong Kong) Limited. Business Manager Tang Shangyong (Drew Tang) explains applications for a Wholesale Dealer Licence (WDL), GDP, ongoing maintenance and transaction handovers, based on Hong Kong official public information verified up to 2026-10-31. The content distinguishes official statutory / licence conditions, Codes and GDP requirements, Drew Tang's practical recommendations, and risk alerts. It does not constitute a government approval commitment, product release, pharmacist's opinion or legal advice. Each case should be assessed against the legislation, licence conditions and forms in force at the time of submission, and the written advice of the competent authority.

Clarify these important boundaries before applying

All wholesale dealers of Western medicines must employ a registered pharmacist, and the PIC is the manufacturer's AP.

An ordinary WDL requires an approved PIC; where pharmaceutical products are handled, the PIC also serves as the GDP RP. The AP belongs to the manufacturer licensing / GMP framework. The registered pharmacist requirement applies in specific cases involving listed psychotropic substances and certain transactions in dangerous drugs; it should not be generalised to all ordinary WDLs.

A complete WDL application is guaranteed to be approved within two working months.

The official service target is to process and approve an application within two months where the documentation is complete and the storage facilities are adequate and satisfactory. The source does not say “two working months” and does not specify a uniform start date, such as confirmation of receipt, inspection or the date of the last supplementary document.

Changes to directors, shareholders, PIC, address and warehouse need only be notified within one month.

Changes to directors / proprietors / partners are subject to a one-month written notification requirement. Changes to the PIC, DPIC and PIC for dangerous drugs require prior approval. Changes to the address, additional warehouses and storage facilities are handled through applications for changes to particulars and approval. The current checklist does not separately list a one-month notification item for a change of shareholders.

A WDL automatically registers products and permits imports or exports indefinitely.

Product registration, a WDL and each import / export licence are distinct regulatory requirements. Each consignment's import or export must be handled using Form 3 / Form 6, and products generally need to be registered before sale in Hong Kong, unless an exemption applies.

Purchasing shares in a company or acquiring 100% of its shares automatically transfers the licence or allows it to be freely traded.

The continued validity of a WDL depends on the applicant entity, personnel, premises, storage arrangements, licence conditions and change procedures. The shareholding structure itself does not remove the regulatory implications of changes to directors, PIC, address, warehouse or quality system.

01

Scope of authorisation and licence boundaries

First identify the products, transaction methods, goods flows and storage conditions proposed, then determine the WDL, any additional licences and the required personnel. A WDL is the basic licence for the wholesale of Western medicines; it is not a pharmacy retail licence, manufacturer's licence or product registration certificate.

[Official statutory / licence conditions] Regulation 25 of the Pharmacy and Poisons Regulations establishes the requirement that, in principle, a Wholesale Dealer Licence (WDL) is needed to sell or supply by way of wholesale, at any premises, pharmaceutical products, poisons or substances / articles containing poisons, unless a statutory exception applies, such as an Authorised Seller of Poisons or a licensed manufacturer selling only pharmaceutical products manufactured by it. The application should accurately state whether the business involves import, export and / or local distribution; the scope of business cannot be inferred from the company name or Business Registration alone.

[Official regulatory boundaries] A separate licence must be applied for under the antibiotics regime if antibiotics are to be handled. If the business intends to supply Part I dangerous drugs listed in Schedule 1 to the Dangerous Drugs Ordinance, or preparations containing only Part II dangerous drugs, the relevant Wholesale Dealer Licence to Supply Dangerous Drugs must be separately checked and applied for. An ordinary WDL does not automatically cover these additional authorisations. Chinese herbal medicines and proprietary Chinese medicines are regulated under a separate Chinese medicine trader regime; a Chinese medicine licence should not be used as a substitute for a WDL.

[Drew Tang's practical recommendation] Before submitting the forms, prepare a product matrix covering “ingredients / dosage form / strength — place of sale — supply method — labelled storage conditions — additional licences — specialist personnel — storage controls”. Products whose ingredients or applicable classification have not yet been verified should be listed as pending confirmation; do not classify medicines or reach compliance conclusions based on product names.

Product registration and import / exportThese are separate regulatory requirements.Do not treat possession of a WDL as a substitute for product registration or a trade licence for each consignment.
02

Applicant Entity & Governance

WDL application reviews focus on the identity of the licence holder, who actually operates the business, who bears regulatory responsibility, and whether the company documents are consistent with operations on site. There is no standard corporate structure that can replace substantive review.

[Official application requirements] The document checklist in the current new application guidance covers different supporting documents for limited companies, sole proprietorships and partnerships. It is therefore incorrect to state that only limited companies may apply for a WDL. Whatever the form, the entity's registration, business address, signing authority, director / proprietor / partner details and actual business arrangements must be consistent with one another.

[Official procedure for changes to particulars] If a proprietor, partner or director changes, the licence holder must notify the Board in writing within one month from the date of the change. The current checklist for changes to particulars separately specifies forms and supporting documents for adding or removing directors, changes of partners, and changes of sole proprietor. Updating records with the Companies Registry does not mean that the WDL notification or submission of particulars has been completed.

[Key correction and risk alert] The official checklist for changes does not list a change of shareholder as a separate one-month notification item on the same basis as a change of director. It is therefore inadvisable to assert that every share transfer is automatically subject to a one-month statutory notification requirement, or that a share transaction automatically transfers the licence. Where the shareholding or control arrangements change, first check whether this also triggers changes to directors, proprietors, partners, signing authority, PIC, premises, storage arrangements or licence conditions. For cases involving only shareholders / control that are not listed, seek case-specific confirmation from the Wholesale Dealers Regulatory Group.

03

Key Personnel & Responsibilities

The titles may be similar, but their regulatory functions differ. The key role for an ordinary WDL is the approved PIC. Where pharmaceutical products are handled, the PIC also has the responsibilities of the GDP RP. A manufacturer's AP belongs to the manufacturing licence and GMP framework and is not an automatic substitute for a position under an ordinary WDL.

[Official statutory / licence conditions] A WDL applicant must nominate in writing a Person-in-Charge (PIC) for poisons and pharmaceutical products. The nominee must be considered suitable by the Board and have adequate knowledge of relevant pharmaceutical trade. Current information indicates that a person already acting as PIC for another WDL holder will generally not be considered. A Deputy PIC may also be nominated, but changes to that appointment are likewise subject to the competent authority's procedures.

[GDP Code requirement] For a WDL holder handling pharmaceutical products, the PIC also serves as the Responsible Person (RP) for GDP compliance. The RP's duties include promoting and maintaining the quality system, ensuring the quality of records, staff training, supplier and customer qualification, complaints and recalls, approval of outsourcing, self-inspections, and disposition of affected goods. The RP may delegate work under a statement of responsibilities, but this does not remove ultimate oversight responsibility. The Drug Office also requires the RP to remain contactable and for an alternative point of contact to be available when the RP is absent.

[Personnel for specific products] A licence holder must not sell or handle the psychotropic substances listed in Appendix A to the Code without the supervision of a registered pharmacist. When applying for a Wholesale Dealer Licence to Supply Dangerous Drugs for the supply of Part I dangerous drugs, the official application guidance also requires the registration and valid practising details of the registered pharmacist who will handle the relevant transactions. This special arrangement does not mean that all ordinary WDLs must employ a registered pharmacist, nor does it mean that Drew Tang or a general business manager is a registered pharmacist.

Premises, storage facilities and additional warehouses

Premises inspections focus on whether pharmaceutical products can be stored and handled safely, under control and traceably at the approved premises. The address, layout, equipment and records must be consistent with one another.

【Official application requirements】Guidance for new applications and changes to particulars generally considers companies using commercial premises or premises in an industrial building. The premises should have adequate, suitable, lockable storage facilities with appropriate temperature and humidity. Official materials do not prescribe a uniform minimum floor area; therefore, unverified floor-area, shelving or capital thresholds should not be presented as approval criteria.

【Official approval process】Changes to the business premises address, additional warehouses, storage rooms or facilities, cold rooms, pharmaceutical refrigerators or freezers—including changes to their location, layout, size or cold-chain capability—are each covered by separate items and supporting-document requirements in the change notification list. The guidance requires such changes to be submitted in writing and operations to continue under the existing approved terms until approval is granted. Off-site storage or an additional warehouse is considered and approved by the Committee on a case-by-case basis.

【GDP Code requirements】For products labelled with specific storage temperatures, storage and handling areas must undergo temperature mapping. Select areas subject to greater fluctuation for routine temperature and humidity monitoring, and retain records of daily maximum and minimum temperature and humidity, equipment calibration and alarm testing. Cold-chain facilities must also have suitable alarms and a backup power supply or equivalent contingency arrangements, aligned with product label conditions and transport controls.

05

Organising documents and evidence for a new application

Completeness is not about the number of documents. The applicant entity, products, business, personnel, premises, GDP system and on-site arrangements must be capable of cross-verification. Use the versions of forms and attachment lists in the new application guidance that are current on the submission date.

【Official application requirements】Application information covers the applicant’s registration and Business Registration; details of directors, proprietors, partners and key personnel; a declaration of past experience in Western medicine trading; PIC / Deputy PIC details; evidence of business activities and products for import, export and local distribution; premises and storage documents; and, where applicable, GDP Quality Management System information. The evidence required differs for imports, exports and local distribution. For example, import evidence must show overseas suppliers and product information; export evidence must show overseas buyers and their legal status; and local distribution must be checked against product registration and authorisation relationships.

【Official documentation requirements】Premises and storage information usually includes plans of the entire floor and internal layout, storage facility status and segregation areas, and equipment and temperature and humidity controls. Applicants dealing in pharmaceutical products must also demonstrate that their system is workable through documents such as a quality manual, SOPs, record forms, GDP competency assessments for the PIC / Deputy PIC, and supplier and customer qualification information. Cold-chain or dangerous drug activities require additional information on relevant facilities, personnel or licences.

【Drew Tang’s practical advice】Create an evidence index linking “claim—evidence—source—version—signatory—location on site”. For example, the labelled storage conditions on the product list should correspond to evidence in equipment capability, mapping / monitoring, SOPs, training and transport arrangements. For requests for further information, use the question numbers to prepare point-by-point responses, explaining document changes and their knock-on effects on other documents.

06

Applications, Documents & Inspections

Application work should proceed according to regulatory milestones; submitting the application does not mean the process is complete. Inspection and the PIC interview test the written Quality Management System against actual site operations and are important to determining whether the documentation is sound.

【Official procedure】Once document review of a new application is satisfactory, a pharmacist inspector will conduct a pre-licensing inspection at the applicant’s premises. The Committee may interview the PIC and Deputy PIC to assess whether they are suitable and have sufficient knowledge. The licence decision is considered by the Pharmacy and Poisons (Wholesale Licences) Committee. Additional licences for antibiotics and dangerous drugs must follow their respective procedures; do not assume they are automatically approved with a WDL.

【Accurate description of the official service pledge】The performance pledge in the relevant Department of Health application guidance is to process and approve an application within two months where the applicant has submitted all required documents and demonstrated that the storage facilities are adequate and satisfactory. The text does not say two working months or two months’ working days, nor does it expressly state that the two-month period always starts from acknowledgement of receipt, completion of inspection or submission of the final supplementary information. It must therefore not be described as an unconditional guarantee of approval, a fixed total project duration or a consultancy service delivery period.

【Drew Tang’s practical advice】Before inspection, conduct a paper-to-site-to-personnel rehearsal: check door locks, segregation status, temperature and humidity readings, calibration, abnormal event / power failure procedures, the product pathway from receipt to supply, and recall traceability. The PIC / RP should answer questions using actual SOPs and records. If site arrangements are not complete, complete them and provide accurate supporting evidence first; do not backdate records to meet a deadline.

GDP Quality Management System, storage and day-to-day controls

GDP is the Quality Management System for ongoing WDL compliance, not a single document. The responsibilities of management, the PIC / RP, warehousing, procurement, transport and outsourced service providers must be connected through workable procedures and traceable records.

【GDP Code requirements】Management is responsible for the Quality Management System and must be actively involved; the PIC / RP is responsible for implementing and maintaining the system. The Quality Management System should cover quality risk management, change control, deviations and CAPA, document control, personnel training, supplier and customer qualification checks, receipt, storage, quarantine, supply, complaints, returns, suspected falsified products, recalls, outsourcing and transport. Documents must be created when operations take place, approved, version-controlled and periodically reviewed.

【Day-to-day and periodic controls】Store products in accordance with the conditions stated on the outer packaging. Applicable areas must have routine temperature and humidity monitoring and calibration records. Temperature excursions, equipment failures, returns or abnormal inventory must be quarantined, investigated, addressed by an appropriate person and supported by CAPA evidence. The management review cycle must be justified by risk; even in the lowest-risk areas, the interval must not exceed twelve months.

【Annual self-inspection】The GDP guidance requires an annual self-inspection programme covering the full scope of GDP. Inspections may be carried out by area, monthly or in stages, but external audits or regulatory inspections cannot replace company self-inspections. Each self-inspection must be recorded and reported, with the report reviewed by management and relevant personnel. Where non-compliance is identified, its cause must be determined and recorded, and CAPA followed up.

08

Storage, Traceability & Records

Retention periods depend on the nature of the record and the product scope; a single period cannot be applied to every situation. Business records must meet the more stringent or specific requirements of the WDL Code, GDP and relevant legislation.

【WDL Code requirements】Each transaction involving Part I poisons or pharmaceutical products must be recorded separately in the prescribed forms or an approved record system, including the product name, batch number, pack size and quantity, transaction date and nature, supplier or recipient, invoice number, total quantity received / supplied, and balance after the transaction. Transactions should be recorded within seventy-two hours. Sales or supply records should be supported by documents signed by the buyer, and acknowledgements of receipt should also be collected within seventy-two hours of the transaction. Import or export transactions must retain transport and other supporting documents, and invoices must state the batch number of the products supplied.

【Retention periods: precise distinctions】Under the WDL Code, the ledgers, records and documents mentioned above that must be retained are generally kept for two years from the date of the last entry or transaction; other records and documents referred to in the Code must be retained for at least two years from completion. Designated documents for advanced therapy products (ATPs) must be retained until 30 years after the product’s expiry date. If the licence holder ceases business earlier, they must be transferred to the Board within 14 days of cessation. The GDP Guide sets out a baseline of the period required by law and at least five years for general documents; electronic backups must also be kept for at least five years. Apply the longer or more specific requirement relevant to the case.

【Separate rules for active substances】Part II of the GDP Guide sets out a separate retention period for active substances: batch-related records must be retained for at least one year after the batch expiry date; where a retest date applies, they must be retained for at least three years after the entire batch has been distributed. This does not change the retention period for all finished pharmaceutical product transaction records to a blanket one or three years.

09

Product Registration & Trade Permissions

The WDL, pharmaceutical product registration and import/export licences each address different matters. When designing the supply chain, confirm separately who may trade, which products may be sold in Hong Kong, and which consignments may clear customs.

【Official regulatory scope】A WDL authorises wholesale trading; it does not mean that a particular pharmaceutical product is registered. The Drug Office FAQ explains that, unless a statutory exemption applies, a pharmaceutical product generally must be registered before it may be sold, offered for sale, distributed or held for those purposes in Hong Kong. The supporting documents for local distribution applications also vary depending on whether the applicant is the holder of the Certificate of Registration.

【Import/export procedures】A separate licence application is required for each import or export of a pharmaceutical product. The official forms are Import Form 3 and Export Form 6. Accordingly, even if the same WDL holder continues to deal in the same products, a single licence cannot be treated as a long-term, general customs clearance authorisation. The documents, batch, source/destination and supporting records for each consignment must be linked to the WDL records.

【Drew Tang's practical recommendation】Use separate fields in commercial contracts, purchase orders and shipping instructions for the licensed entity, Certificate of Registration holder/authorisation chain, import/export licence applicant, consignee, storage provider and carrier. If any role is unclear, first suspend adding the product to saleable inventory.

10

Government Fees, Timing & Budget

Government fees, third-party validation and storage costs, and consultancy service fees are three distinct categories of expenditure. Quotations, budgets and external communications should clearly distinguish them.

【Government fees】The new application guidance issued in September 2026 lists the prescribed fee for a WDL as HK$625; for a Wholesale Dealer Licence for the supply of dangerous drugs, HK$860; and for an Antibiotics Permit, HK$450. An application to amend particulars costs HK$155 per licence. The actual payment timing, required payment slips, forms and amounts are subject to the competent authority's applicable notices at the time of submission.

【Accurate description of timing】The official two-month period is a processing and approval service target, subject to the documents being complete and the storage facilities being adequate and satisfactory. It is not an unconditional promise to issue a licence, nor does it mean two working months calculated from a specified starting point. Inspections, requests for further information, changes in scope and additional licensing matters should not be overlooked.

【Drew Tang's practical recommendation】At a minimum, divide the budget into: the basic WDL government fee; government fees for additional permits; premises/equipment; mapping/calibration/validation; quality systems and training; outsourced warehousing and distribution; and professional services and ongoing maintenance. Consultancy fees should clearly specify the scope of services, assumptions and exclusions, and should not be conflated with statutory fees.

11

Renewals, Reporting & Changes

A licence is not a one-off status. Manage renewal, changes to particulars and routine GDP controls through the same governance register, so that significant changes are not deferred until renewal.

【Annual renewal】A wholesale dealer's licence is an annual licence and should be renewed/paid for in accordance with its stated expiry date and the competent authority's renewal/payment notice. Renewal does not remove the ongoing obligations to comply with existing licence conditions, GDP and requirements for accurate particulars. Before and after renewal, ensure that the PIC, premises, storage arrangements, product scope and records continue to reflect the approved position.

【Different change procedures】Owner, partner or director: notify the Board in writing within one month after the change. PIC, DPIC and dangerous drugs PIC: obtain approval from the Board and/or Wholesale Dealers Section before the change; the Board/Section will determine whether the nominee is suitable. Business address, additional warehouse, storage facilities, cold-chain facilities and layout: apply using the change-of-particulars form and provide the relevant equipment/drawing/monitoring information; maintain the existing approved terms until approval is granted.

【Ongoing maintenance】WDL holders must maintain available evidence of training, routine monitoring, equipment calibration, supplier/customer qualification, transaction records, complaints, returns, recalls, deviations, CAPA, self-inspections and management reviews. Breach of licence conditions, applicable regulations, Codes of Practice or GDP guidelines may lead to regulatory consequences such as a warning, variation of conditions, suspension or revocation.

12

Routine Controls & Inspection Readiness

Pre-licensing inspections, subsequent regulatory inspections and PIC interviews should not rely on ad hoc explanations. Personnel should be able to demonstrate product quality, traceability and controlled distribution using actual documents and on-site conditions.

【Official regulatory requirements】A pre-licensing inspection may take place upon application, and the Board may also interview the PIC/deputy PIC. GDP requires documents to be readily retrievable, records to be generated as operations take place, and documents required for regulatory purposes to be made available on request. Inspections do not merely assess general cleanliness; they also check whether storage status, access control, temperature and humidity, calibration, segregation of goods, product traceability, training and handling of exceptions are consistent.

【Recommended inspection pack】Keep the following readily accessible on site: the licence and approved conditions; premises/warehouse layout; product and storage conditions matrix; PIC/RP duties and deputy roster; SOP index; training records; temperature and humidity records and calibration records; supplier/customer qualification records; sample transaction traceability records; complaints/returns/recalls and CAPA records; outsourced quality agreements; and self-inspection reports.

【Scenario preparation】The PIC/RP should be able to explain the process for isolating and investigating temperature excursions, making decisions and recording them; how a batch number can be traced back to the supplier and forward to customers; and how to immediately suspend supply and notify relevant parties upon discovery of suspected counterfeit products or receipt of a recall notice. Answers should be based on actual procedures; an SOP that has not been implemented should not be presented as a control already in place.

Acquisition Due Diligence & Handover

A WDL cannot be bought and sold freely as a standalone asset, separate from the licensed entity, approved personnel, address, storage arrangements and licence conditions. Any transaction structure should be preceded by licence and GDP due diligence, followed by the appropriate regulatory changes and handover of the quality system.

【Key correction】Do not claim that acquiring 100% of the shares automatically carries the licence, that a licence can be freely sold, or that only a 100% shareholding can be traded. A company share transaction is a commercial structure; the validity of the WDL and the ability to continue operating depend on whether the licensed entity continues to meet the licence conditions, whether personnel and premises remain approved, and whether relevant changes are handled through the correct procedures.

【Due diligence priorities】Check the licensed entity; licence number, term and conditions; business premises and additional warehouses; PIC/DPIC; additional permits for dangerous drugs/antibiotics; product registration or authorisation chain; supplier and customer qualification; temperature and humidity monitoring/calibration/validation; batch and inventory status; complaints/recalls/deviations/CAPA; outsourced warehousing and distribution; and renewals/regulatory correspondence. Assess separately any inventory that is quarantined, returned, expired, recalled or subject to a temperature-control deviation, rather than treating it as saleable stock.

【Completion arrangements】Before the transaction, identify any changes to directors, owners, partners, PIC, address, warehouse, storage equipment, contracts or product range. Make any changes requiring prior approval—for PIC, dangerous-drug personnel, premises or storage—conditions precedent or ensure that verifiable transitional measures are in place. After completion, hand over in writing, using a checklist, the licence conditions, record-retention responsibilities, alarm accounts, access controls, outstanding CAPA/complaints/recalls, outsourcing agreements, contacts and renewal dates, and conduct a GDP management review.

Management Compliance Register

Bringing licences, products, personnel, premises, quality events and commercial changes within a single governance framework makes it possible to identify regulatory implications promptly when expanding product lines, changing warehouses or completing a transaction.

【GDP Code requirements】Management is responsible for the quality system and must review quality events, self-inspections, external assessments, document reviews, outsourcing performance and CAPA. Change control must identify, document, assess, implement and review changes that may affect GDP. Replacing a carrier, relocating a warehouse and changing cold-chain equipment are typical examples cited in official industry guidance.

【Suggested compliance register】Record the responsible person, due date, evidence link and status across ten areas: licence/conditions; products/registration/trade permits; personnel; premises/warehouses/equipment; quality system; suppliers/customers; outsourcing; record retention; events and CAPA; and renewals/changes. The register does not replace government applications; it helps prevent applications, on-site operations, systems and personnel from each maintaining different versions.

【Risk alert】The frequency of management reviews, phasing of self-inspections and frequency of outsourcing audits may be designed according to risk, but must be supported by written rationale; risk tiering is not a reason to reduce basic requirements. For any unplanned change, first assess its regulatory impact, then determine whether to initiate changes to submitted information, a risk assessment, validation, training and document updates.
