HONG KONG DRUG LICENSING

Licensed Drug Company Acquisition

Plan due diligence and change notifications for a Hong Kong licensed drug company acquisition. A share acquisition does not automatically transfer the licence.

LICENSED BUSINESS ACQUISITION

What you are acquiring is a licensed operating arrangement, not a piece of paper detached from the business

Acquiring a Hong Kong pharmaceutical licence company involves taking on the company entity, licences, personnel, premises, products and compliance history as a whole. As an independent third-party intermediary and compliance service provider, Rengangyongsheng (Hong Kong) Limited assists buyers with screening and assessment, helps sellers prepare information, and coordinates the commercial arrangements for the transaction and regulatory changes.

You may negotiate a share acquisition, investment in a partial interest or business asset transaction, but each structure has different implications for the entity, personnel and premises. Signing an agreement and transferring the company do not mean that the licence is automatically transferred. Work involving lawyers, auditors or pharmaceutical professionals should be handled by the relevant professionals.

Review the target and risks before planning the transaction.

Check the change route for the relevant licence type when assessing a transaction

Before an acquisition or shareholding change, check the licence category, personnel, premises and subsequent procedures separately. The comprehensive guide sets out the four routes side by side to help prepare due diligence and completion checklists. FOR BUYERS

What should the buyer clarify first?

First explain the medicines you intend to handle, wholesale or retail activities, import sources, required premises and professional personnel, then determine the selection criteria. Do not compare only “licence prices”; also compare the remaining validity period, the actual approved scope, staff retention, warehouse lease, historical remedial actions and liabilities assumed.

  • Target licence category, product classification, customer types and cross-border activities.
  • Budget range, proposed shareholding percentage and control arrangements.
  • Whether the existing premises, personnel, quality systems and product information will be retained.
  • Whether you wish to take over inventory, customer relationships, company liabilities or only certain assets.
  • Project timelines and transaction terms cannot substitute for regulatory approval.
FOR SELLERS

How can a seller prepare a project for assessment?

Initially provide details that can be disclosed publicly, such as the licence type, entity structure, validity period, business scope and sale objective. Further licences, contracts and business records should be provided under appropriate confidentiality arrangements and within the scope of authorisation; there is no need to upload customer lists, patient information or identity documents to a public form.

  • Licence details, attached conditions, expiry and renewal status.
  • Shareholder and director structure, company rights and interests proposed for sale.
  • Premises lease, personnel contracts, actual operations and arrangements for staff retention.
  • Recent inspections, remedial actions, complaints, recalls and regulatory correspondence.
  • Assets and liabilities, inventory and valuation basis; distinguish between the company purchase price and intermediary service fees.

Projects are based on the actual licensed status, authorisation to disclose information and due diligence findings. This public page does not list companies currently for sale where disclosure has not been authorised or the information has not been verified.

DUE DILIGENCE WORKBOOK

Due diligence must look beyond the licence certificate

The following is a suggested transaction preparation checklist. The scope of the review depends on the transaction structure, licence type, products and operating history. A general checklist cannot replace regulatory approval, legal advice, tax audits or quality and technical assessments.

Matters reviewedEvidence to reviewIssues to resolve before the transaction
Licensed entity and categoryValid licence / premises registration evidence, company or business details, and officially permitted categories.Does the holder named on the certificate match the entity involved in the transaction? Is it a wholesale, retail, manufacturing or Chinese medicine licence?
Validity period and conditionsExpiry date, attached restrictions, renewal applications and fees, pending applications.Could any products expire during the transaction? Which activities remain outside the approved scope?
Company rights and governanceRegister of members, register of directors, articles, charges, authorisations and signing authority. Are the interests proposed for sale genuine and complete? Are there any restrictions, encumbrances or third-party rights?
Personnel and retentionApplicable declarations and contracts for the PIC, registered pharmacist, AP or nominated personnel.Who will actually perform the duties after completion? Are prior procedures required for a resignation, dual appointment or change of status?
Premises and warehouseLease, approved / submitted plans, warehouse location, equipment list and storage conditions. Will renewal of a lease, transfer, relocation or the original owner’s exit affect lawful use or licence conditions?
Product registration and permitsProduct list, medicine or proprietary Chinese medicine registration information, additional controlled products, and import/export permits. Can product-level registration and supply permissions be maintained? Acquiring a company does not mean all medicines can automatically be sold.
Quality Management SystemValid SOPs, training, deviation and CAPA records, self-inspection, validation and calibration files. Are the documents consistent with actual operations? Can staff and systems continue to function after handover?
Supply chain and traceabilitySupplier and customer qualification checks, purchasing and sales, batch numbers, inventory and transport records. Can the source and destination of each batch be traced? Have there been any unauthorised transactions or products?
Temperature-controlled and special storageTemperature and humidity, cold-chain deviations, alarms, equipment maintenance and evaluation records. Can the quality of the stock be demonstrated? Do cold-chain deviations require quarantine and action?
Inspections and regulatory correspondenceInspection reports, requests for further information, warnings, evidence of corrective action and outstanding matters. Are there any outstanding corrective actions, suspensions, prosecutions or renewal uncertainties?
Complaints, recalls and liabilityComplaint register, recall records, reports, product liability insurance and potential claims.Who bears responsibility for historical liabilities? How will recalls and customer notifications be coordinated across the period before and after completion?
Financial and operational capacityAccounts, receivables and payables, tax, payroll and lease liabilities disclosed with authorisation. Are the valuation and transaction scope aligned? Are maintenance, personnel and storage costs sufficient to sustain the business?
CHANGES BY LICENCE TYPE

Check changes to shareholders, directors, personnel and address separately

A share transfer is often accompanied by changes to directors, control, the Person-in-Charge, registered address or warehouse. List each change and check the requirements for the relevant licence type, rather than filing just one form with the Companies Registry.

Licence typeKey changes verifiedPre-completion preparation
Wholesale dealerThe Board must be notified in writing within one month of a change of sole proprietor, partner or director. Prior approval must be obtained for changes to the PIC, deputy PIC and person in charge of dangerous drugs. Changes to the address, warehouse and storage arrangements must follow the applicable change procedure.Schedule the company transaction date and personnel effective dates separately, confirm that the premises will be retained and GDP responsibilities maintained, and review the current change checklist.
Pharmacy ASPAn ASP is registered for specific premises, with the PIC and the registered pharmacist providing on-site supervision declared separately. Changes to the business address and displayed pharmacist information are subject to statutory notification requirements; changes in control and other changes should be confirmed against the actual registration details.Check for each item whether registered particulars must be changed, prior approval obtained or a new application made; do not assume that a pharmacy licence will automatically carry over following a transfer.
Listed Seller of Poisons (LSP)Any change to the sole proprietor, partnership or directors requires prior approval from the Board. Relocation involves more than simply changing the Business Registration address.Make prior approval or the corresponding regulatory confirmation an important condition of the transaction arrangements; do not wait until after completion to discover a gap.
Manufacturer of Pharmaceutical ProductsThe factory site, manufacturing scope, key production and quality personnel, and AP arrangements must comply with manufacturer licensing, GMP and relevant registration requirements; the simplified notification pathway for ordinary wholesale does not apply. Please have quality and legal professionals review manufacturing continuity, batch release, validation and changes requiring action, and retain the technical files.
Ordinary wholesale by Chinese medicine tradersAn address change must be applied for in advance. You must not operate at the new premises without approval; under the applicable rules, an unapproved address change may result in the licence becoming invalid. Changes to directors or key information should be notified as soon as possible. For a share transaction alone, the actual changes must be assessed.Maintain continuity of the licensed entity and premises, and list changes to directors, key personnel, company name, products and business activities individually.
TRANSACTION & HANDOVER

From confidential assessment to ongoing operations after completion

01

Expression of interest and confidential information

Clarify the transaction objectives, scope of authorisation and information that may be disclosed, and confirm that the project is genuine and the licence category is suitable. Further sensitive materials should be exchanged under confidentiality procedures.

02

Preliminary commercial terms and due diligence

Prepare a list of matters requiring clarification and discuss the price, transaction scope, liabilities, and retention of personnel and premises. Refer legal, financial, and quality and technical issues to the appropriate professionals for assessment.

03

Transaction documents and regulatory prerequisites

With the assistance of a lawyer, clarify the transaction conditions, approval or notification requirements, responsibility for corrective actions, representations and warranties, and what happens if conditions are not met. Do not treat a commercial agreement as regulatory approval.

04

Completion and business continuity

Complete company and licence-related procedures in accordance with the confirmed route. Hand over personnel authorisations, keys, stock batches, system accounts and quality records, and check that the actual status matches the documents.

05

Initial operations and compliance review

Check temperature control, suppliers and customers, records, outstanding corrective actions and allocation of responsibilities. Update training and SOPs so that the business can continue to meet applicable conditions after completion.

06

Renewal and day-to-day maintenance

Establish a calendar for expiry dates and changes, and follow up on inspections, complaints, recalls and premises maintenance. Intermediary assistance does not replace the actual performance of duties by licence holders and professionals.

Sale price, intermediary fees and maintenance fees to be agreed separately

The sale price of a company or its interests depends on the actual project, assets and liabilities, licence conditions and negotiations between the parties, and is not equivalent to the consultancy fee for a new licence application. The quotation page on this website outlines reference packages for applications and maintenance; the scope and fees for acquisition or sale project services must be confirmed separately in writing.
