Discuss your business arrangements

Business scope

Carry out manufacturing operations within the approved scope. Secondary packaging only, full dosage-form manufacturing and product registration are distinct matters; select the applicable application according to the actual processes and product scope.

Applicant entity

Provide details of the applicant entity, actual manufacturing scope, facilities and personnel; substantiate arrangements for outsourcing, testing and batch release. A wholesale licence cannot replace manufacturing authorisation.

Personnel and qualifications

Establish responsibilities for production, Quality Control and Quality Assurance, and appoint an Authorised Person (AP) responsible for batch certification / release as required. The AP's qualifications, experience and registration must be assessed against official requirements and must not be conflated with those of an ordinary wholesale PIC.

Premises and storage

Factory layout should prevent cross-contamination, with clean areas, equipment validation, environmental controls, storage and laboratories configured according to the products and processes. GMP is not merely a fit-out standard; it is also an ongoing quality system.

Capital and budget

Manufacturing investment is closely related to the dosage form, processes, cleanroom classification and scope of validation. A project-specific budget is required; there is no single consultancy fee applicable to all pharmaceutical factories.

Project timeline

Factory construction, validation, GMP inspection and corrective actions determine the actual timeline and require dedicated project planning; estimated timeframes for wholesalers should not be applied.

IN-DEPTH LICENSING HANDBOOK

Manufacturer of Pharmaceutical Products · In-depth professional practice

Explanatory note prepared by Drew Tang
Official reference materials compiled: 2026-10-31

A Manufacturer of Pharmaceutical Products Licence applies to businesses manufacturing pharmaceutical products, as defined in the Pharmacy and Poisons Ordinance (Cap. 138), at specified premises in Hong Kong. Licensing review focuses on the licence holder, approved manufacturing premises, key personnel and ongoing compliance with PIC/S GMP standards. A manufacturer licence, a licence for secondary packaging only, product registration and wholesale arrangements are related but cannot replace one another. The following information is intended for project planning, site selection, staffing, applications and transaction due diligence. Actual cases remain subject to the current forms, inspection observations and written confirmations of the Pharmacy and Poisons Board / Drug Office.

MODULE 01

Scope of activities, licence boundaries and Chinese medicine routing

Under Chapter 138, “manufacture” covers the process from obtaining materials, processing and packaging through to completing finished products for clinical trials, sale or distribution, and includes repackaging a pharmaceutical product as a finished product. At the start of a project, classify it according to the actual processes and product lines. Avoid treating a narrow outer-packaging operation as covering substantive manufacturing, and do not mistake product registration, wholesale or the Chinese medicine regime for a substitute for this licence.

MattersSpecific requirements and preparationRegulatory position/cautions
General manufacturing activitiesMap each step of the materials receipt, processing, packaging, testing, release, dispatch and retention-sample processes; specify which steps take place at the premises approved in Hong Kong.Statutory scope: The definition of manufacture may include processing and packing through to the finished product; assess the actual activities rather than the business name.
Repackaging and secondary packaging onlyIf you intend to repackage an existing pharmaceutical product as a finished product, first submit details of the process and packaging levels; if you only carry out secondary packaging, assess the separate “Manufacturer of Pharmaceutical Products (Secondary Packaging)” route.Applicable conditions: only external packaging has a separate licence and dedicated GMP guidance; it should not be conflated with a general manufacturer’s licence.
PIC/S GMPThe quality system, facilities, documents, validation and batch controls should be configured in accordance with the applicable PIC/S GMP guidelines and be ready for GMP inspection.Statutory/licensing conditions: PIC/S GMP is an important condition for licensing local manufacturers; PIC/S is not a separate licence that can be obtained to replace a manufacturer’s licence.
Product registration and salesSeparately check the registration status, registration particulars and sales classification of each product intended to be sold, offered for sale, distributed or possessed for those purposes in Hong Kong.Statutory requirement: a manufacturer’s certificate does not replace product registration; product registration information is also the benchmark for checking batch manufacturing and testing compliance.
Wholesale and own productsIf selling your own products on a wholesale basis, establish arrangements for receipt, storage, transactions and traceability that comply with wholesaler requirements; if dealing in another party’s products, separately check the wholesaler licensing requirements.Applicable conditions: a licensed manufacturer wholesaling its own products may not need a separate Wholesale Dealer Licence, but must still operate in accordance with the relevant wholesale rules.
The four-category Chinese medicine licensing systemChinese medicine projects must be divided into four categories: retailers of Chinese herbal medicines, wholesalers of Chinese herbal medicines, manufacturers of proprietary Chinese medicines and wholesalers of proprietary Chinese medicines. Select the licence according to the actual activities.Statutory boundary: the sale, manufacture, distribution or synthesis of Chinese herbal medicines or proprietary Chinese medicines is not governed by the manufacturer regime under Chapter 138. Registered pharmacist or AP requirements cannot be applied to these activities.

Preparation tip: Before signing a lease, equipment purchase agreement or contract manufacturing agreement, use a flow chart and product list to confirm with the regulator the applicable boundaries for general manufacture, secondary packaging and the Chinese medicine regime.

Not all Part I poisons require a prescription. Prescription requirements for retail sales must be determined separately, based on whether the poison is listed in Schedule 3 and the actual sales circumstances.

MODULE 02

Licensed entity, shareholders and directors, and governance structure

A licence is centred on the proposed licence holder and the designated manufacturing premises; it is not a permit that can operate independently of the legal entity, premises and compliance circumstances. Official application guidance describes the practical route as the company expressing its intentions, submitting a project proposal and making an application. However, the currently verified materials do not establish an absolute rule that ‘only a limited company may apply’. The entity type and control structure should be confirmed case by case at an early stage of the project.

MattersSpecific requirements and preparationRegulatory position/cautions
Proposed licence holderDetermine which entity will hold the licence for the specified manufacturing premises, and ensure consistency across company information, authority to sign applications, the lease, employment relationships and responsibility for the quality system.Statutory/application review: The legislation uses the term “person” and the concept of licensing the relevant premises; corporate applications are the current operational route, but it is not advisable to claim that only one type of entity can apply.
Shareholding and director informationPrepare a list of ultimate beneficial owners, shareholders, directors, authorised signatories and related parties; explain in advance how they may affect resources, personnel independence and quality decisions.Recommendation: the materials reviewed do not list changes to shareholders or directors as an automatically approved procedure or an automatic licence transfer; however, a transaction may trigger case-specific scrutiny of the details and compliance facts.
Governance and quality independenceThe board of directors should define commercial, production and quality decision-making responsibilities in writing, and maintain independent escalation channels for quality issues, deviations, refusal to release and product recalls.Regulatory guidance / preparation recommendation: commercial objectives must not override the AP's batch certification and Quality Control responsibilities.
Resource commitmentUse budgets and staffing plans to demonstrate that resources can be provided on an ongoing basis for key personnel, testing capabilities, premises maintenance, validation, training, recalls and record retention.Applicable conditions: no uniform minimum registered or paid-up capital requirement has been identified. The regulator actually assesses whether the products, processes, facilities and quality system are suitable.
Group and outsourced relationshipsSet out the responsibilities, quality agreements and data access rights of group companies, contract laboratories, storage providers, logistics providers, contract manufacturers and overseas suppliers.Recommendation: even when using resources from an associated party, the licensee must still be able to demonstrate effective control of the relevant activities under the approved premises and quality system.

Do not present “limited company”, a “specific capital amount” or a “100% acquisition” as statutory prerequisites for all applicants; the official materials verified for this page do not support such blanket claims.

Before a transaction or restructuring, confirm in writing with the Manufacturers Regulation Unit whether it involves notification or prior approval for changes to the licensed entity's particulars, key personnel, premises or licence conditions.

MODULE 03

AP, production manager and quality control manager: qualifications and separation of duties

Key positions in a standard manufacturer include the Authorised Person (AP), production supervisor and quality control supervisor. Manufacturing must be carried out by a registered pharmacist or a person approved by the Board, or under their supervision. The licence holder must also employ at least one AP to confirm and certify that each batch has been manufactured and tested in accordance with GMP and conforms to the registered particulars. An AP is not the same as a general “business lead” and should not simply be described as necessarily being a registered pharmacist.

MattersSpecific requirements and preparationRegulatory position/cautions
AP eligibility pathwaysPrepare academic qualifications/recognised courses, CVs, GMP manufacturing or quality control experience, training and continuing professional development records in accordance with official qualification, experience and training guidance.Statutory/regulatory guidance: An AP may be a registered pharmacist or a person who has completed a course recognised by the Board and meets the relevant conditions; do not simplify this to “an AP must be a pharmacist”.
AP batch responsibilitiesEstablish an AP review pack covering batch manufacturing records, test results, deviation/change/OOS handling, conformity with registration particulars, storage status and the release conclusion.Statutory requirement: the AP must ensure and demonstrate that each batch is manufactured and tested in accordance with GMP and fully complies with the registration particulars, and is responsible for the compliance assessment for batch release.
Production supervisorPerson designated to oversee production organisation, process execution, personnel hygiene, equipment use, cleaning status, completion of batch records and escalation of production deviations.Regulatory guidance: production responsibilities should be clearly specified in the organisation chart, job descriptions and SOPs; sales or administrative roles are not a substitute.
Quality Control SupervisorPerson designated to oversee sampling, testing, specifications, retention samples, OOS / abnormal result investigations, review of testing records and input of quality release information.Regulatory guidance: Quality Control should have sufficient authority and resources to make independent judgements.
Separation of production and quality functionsDesign separate roles, reporting lines, authorisation lists and escalation mechanisms for conflicts between the Production Manager and Quality Control Manager. If the same person is proposed for both roles, obtain written regulatory confirmation first.Recommendation: do not assume that any dual role is automatically permitted; the priority is to prevent self-approval in production and maintain independent QC and AP reviews.
Personnel changesPrepare successor qualification files, handover checklists and interim authorisation arrangements for departures, leave and succession.Statutory/application requirements: Changes to key personnel require the prior approval of the Manufacturer Licence Committee.

“Manufacture under the supervision of a registered pharmacist” and “batch certification by a registered AP” are parallel requirements. Personnel, authorisations and records should not be conflated under a vague “Person-in-Charge” role.

Eligibility, years of experience, recognised courses and CPD are subject to the official guidance in force at the time of application and individual case review. Do not use years of experience on a CV as a substitute for the registration process.

MODULE 04

Manufacturing premises, equipment and pre-licensing inspection

A Manufacturer of Pharmaceutical Products licence is linked to the approved manufacturing, testing and dispatch premises. Site selection should not be based solely on rent or floor area; the design should be worked back from the dosage form, cross-contamination risks, material and personnel flows, environmental controls, testing needs, storage status and traceability. A new application requires a pre-licensing inspection, and the plans must correspond to the actual condition of the premises.

MattersSpecific requirements and preparationRegulatory position/cautions
Premises use and floor planSubmit a floor plan and personnel and goods-flow routes covering goods receipt, quarantine, sampling, production, packaging, QC, retention samples, finished products, returned goods and non-conforming goods areas.Regulatory review: manufacturing, testing and dispatch premises must be fit for purpose; the layout should support contamination control and segregation by status.
Environment and hygieneDefine cleaning, temperature and humidity controls, pest control, cleanroom and pressure-differential requirements, gowning and hygiene procedures according to product and process risks, and retain monitoring records.GMP requirement: personnel and premises hygiene controls are a focus of inspections and should not be replaced by a generic office cleaning policy.
Equipment and metrologyPrepare an equipment inventory, URS, installation/operational/performance qualification records, maintenance, cleaning and calibration records, and records of equipment taken out of service due to faults; changes to critical equipment must be controlled.GMP guidance: evidence of equipment suitability and validation should match the actual products and processes.
Storage and dispatchEstablish status categories for quarantined goods pending examination, released goods, segregated goods, returned goods, recalled goods and goods for destruction. Use labels and records to ensure the traceability of temperature and humidity, batch numbers, expiry dates and first-expired, first-out handling.Regulatory review: storage and dispatch are part of the quality system, not merely logistics after manufacturing is complete.
Floor area and capitalDevelop an area and investment plan based on capacity, dosage forms, equipment, QC and inventory risks, allowing for validation, retention samples and recall segregation.Applicable conditions: the verified information does not list a fixed minimum factory area or capital amount. Do not present unsupported figures as “entry thresholds”.

Recommendation: before fit-out, conduct a GMP gap assessment and include area classification, drainage / air conditioning, cleaning validation, data integrity and testing logistics in the design freeze documents.

Material changes to the premises require final approval before implementation and may require an inspection; do not treat relocation or expansion as a routine administrative notification.

MODULE 05

Application materials: from project proposal to inspection-ready evidence pack

An application should not consist solely of a business plan. The regulator needs to see a coherent link between the applicant entity, premises, personnel, products and processes, and the quality system, with evidence that can be traced to the actual site and controlled documents during an inspection. Manage documents by version, responsible person and status to avoid contradictions between drawings, SOPs, job descriptions and registration strategy.

MattersSpecific requirements and preparationRegulatory position/cautions
Project and product descriptionSpecify dosage forms, product list, intended use, capacity, key processes, sources of raw and packaging materials, whether any steps are outsourced, and locations in and outside Hong Kong.Application materials: the project proposal should enable the regulator to assess the scope of activities, technical complexity and applicable review pathway.
Entity and key personnel recordsPrepare the licensee’s details, organisation chart, job descriptions, CVs and qualification evidence for AP / production / QC personnel, as well as training records and an authorisation matrix.Statutory/application review: Key personnel must meet the qualification requirements; documents must show a clear division of quality and production responsibilities.
Factory and facilities informationPrepare the address, evidence of tenancy / control, premises layout plan, area functions, equipment list, utilities, environmental controls, and descriptions of storage and QC capabilities.Application review: the suitability of the premises must correspond to the proposed products to be manufactured and the testing and dispatch activities.
Quality system documentsEstablish a quality manual and systems for document control, supplier management, deviations/CAPA, changes, validation, complaints, recalls, self-inspection, training and record retention.GMP guidance: a list of system documents alone is not sufficient; provide samples of controlled documents and records that have been implemented or can be demonstrated during an inspection.
Product registration coordinationEstablish a comparison table of product registration status and approved particulars, making formulation, specifications, processes, packaging particulars and AP release-check points traceable.Statutory requirement: registration of pharmaceutical products intended for sale or distribution in Hong Kong must be dealt with separately; a manufacturer application does not automatically confer eligibility to sell products.

Recommendation: manage the application package using a matrix of “requirement—evidence—document version—responsible person—on-site location”, so that supplementary requests can be addressed directly rather than by hurriedly assembling documents.

If the information involves overseas manufacturing, testing or supply-chain stages, clearly explain the outsourcing relationships, quality agreements, audit rights and data-access mechanisms.

MODULE 06

Application steps, supplementary information and inspection responses

The official process includes submission by the interested company of its expression of interest, project proposal and formal application, followed by a review by the Manufacturing and Quality Control Division based on the documents and on-site conditions. Project management should link regulatory queries, document revisions, facility rectification and the presence of key personnel in one controlled process. Requests for additional information are not merely administrative exchanges; they often reveal that the design or quality system has not yet been fully closed out.

MattersSpecific requirements and preparationRegulatory position/cautions
Initial intentions and pathway confirmationAt the start-up stage, outline the proposed activities, product categories, premises, key personnel and dependencies affecting the timeline, and confirm the applicable route, such as general manufacturing or secondary packaging.Application procedure: follow the official application guidance and do not substitute informal market practice for regulatory confirmation.
Project proposalSubmit project information explaining the products, processes, premises, organisation, quality control, storage and supply chain, and maintain a log of issues.Regulatory review: the information should be sufficient to enable the regulatory authority to assess the feasibility and compliance of the proposed manufacturing activities.
Formal applicationOnce personnel qualifications, controlled documents, facilities and equipment are ready for review, submit the formal application in accordance with the current form, signing and attachment requirements.Applicable conditions: the form version, attachments and payment method must meet the official requirements in force on the submission date.
Management of requests for further informationAssign a technical owner and a quality reviewer to each issue, and document the root cause, revised documents, implementation evidence, training impact and closure date.Recommendation: do not rely solely on verbal promises to make corrections; changes that may affect GMP should be included in change control.
Pre-licensing inspectionConduct a mock inspection to ensure that personnel can explain actual procedures and promptly retrieve batch records, training, validation, calibration, deviation and environmental records.Statutory/licensing procedure: New applications are subject to a pre-licensing inspection; the on-site situation must match the application documents.

Regulatory responses should be reviewed and signed off jointly by quality, production, QC, engineering and management to avoid a consultant giving responses that cannot be implemented on site.

Do not promise a fixed approval date; the case timeline will be affected by the scope of requests for further information, inspection results, the extent to which corrective actions have been completed, and the complexity of the products and premises.

MODULE 07

GMP, validation, batch manufacturing, QC, release and recall

The purpose of GMP is to demonstrate that products are consistently manufactured and controlled to predetermined standards throughout the manufacturing process, rather than remedied after finished-product testing. The licence holder should link validation, batch manufacturing records, QC testing, AP release, complaint/adverse reaction handling and recalls; any break in this chain weakens the basis for demonstrating batch compliance.

MattersSpecific requirements and preparationRegulatory position/cautions
Validation Master PlanEstablish a qualification/validation plan for processes, cleaning, equipment, utilities, methods and computerised systems based on risk, including acceptance criteria, deviation handling and triggers for revalidation.GMP guidance: validation should demonstrate that the system remains fit for purpose; it is not a one-off engineering acceptance document.
Batch production recordsFor every batch, retain records of materials, equipment status, critical parameters, operators and reviewers, yield reconciliation, deviations, rework or repair, and packaging-line clearance evidence.Statutory/GMP: Batch records are the key evidence for the AP to determine whether a batch was manufactured in accordance with GMP and the registration particulars.
QC sampling and testingEstablish an approved sampling plan, specifications, analytical methods, raw data, investigations of OOS / abnormal results, retesting rules, and retention sample and stability management.GMP guidance: QC cannot simply issue certificates of compliance; its data integrity, investigation quality and independence must all be auditable.
AP batch releaseOnce the AP has reviewed the compliance of production, testing, deviations, changes, departures and registration documents, make a batch release or rejection decision in accordance with the controlled procedure.Statutory requirement: the AP is responsible for ensuring and demonstrating that batches are manufactured and tested in accordance with GMP and fully comply with the product registration particulars.
Complaints, adverse reactions and recallsEstablish procedures for complaints, quality defects, adverse reaction reports, risk assessments, regulatory notifications, recall classification, customer notifications and effectiveness checks, with traceability by batch number.Regulatory guidance: recalls must be actionable and verifiable; segregated areas and complete sales/distribution traceability records should be in place in advance.
Record integrityClearly define the rules for creating, reviewing, revising, accessing, backing up, retaining, retrieving and destroying paper and electronic records, so that the decision trail for each batch can be promptly reconstructed.GMP guidance: after-the-event signatures, shared accounts or forms that cannot be traced are not substitutes for original controlled records.

Preparation tip: Conduct at least one mock batch release and one mock recall to test whether the AP, QC, warehouse, sales and management teams can reconstruct the batch's movement within the specified scope of records.

PIC/S GMP is a manufacturing quality framework; product registration is a separate statutory requirement governing whether a product may be sold/distributed in Hong Kong. Interfaces between the two must be established.

MODULE 08

Government fees, project timeframe and budget basis

The main costs of a licence project comprise premises and construction work, equipment and validation, key personnel and training, QC capability, the quality system, product registration and regulatory applications. Government fees, professional service fees and ongoing compliance investment must be listed separately. The currently verified materials do not provide specific government fees, fixed premises or capital figures, or statutory approval timeframes that can safely be reused. Accordingly, no single amount or guaranteed date should be quoted externally.

MattersSpecific requirements and preparationRegulatory position/cautions
Government feesBefore submitting an application, change notification or renewal, check the items, amounts, currency, payment method and whether any additional fee is required against the current official forms, fee pages or written replies.Applicable conditions: the sources verified for this review do not list a specific amount that can be applied directly. Do not invent an amount or reuse an old quotation.
Approval timeframeManage the project through milestones such as completion of the design, equipment confirmation, key personnel taking up their posts, document readiness, further information requests, inspections and closure of remedial actions.Regulatory reality: new applications involve a pre-licensing inspection, but official materials do not specify a uniform number of days or months within which approval can be guaranteed.
Consultancy service quotationSeparate feasibility assessments, application documents, GMP gap assessments, training, inspection support, supplementary submissions and transaction due diligence into clearly defined scopes and deliverables.Recommendation: a consultancy quotation is not a government fee. Currency, taxes, third-party testing and engineering costs should be defined separately in the contract.
Capital expenditurePrepare costs for premises refurbishment, HVAC and utility systems, production and testing equipment, information systems, validation and retention samples based on the dosage forms and processes.Applicable conditions: there is no uniform minimum area or capital threshold. The budget should support the applicable GMP requirements and actual production capacity.
Ongoing operating budgetInclude annual costs for AP/production/QC personnel, calibration and maintenance, environmental monitoring, stability, training, audits, recall drills, renewals and change management.Recommendation: treat the compliance budget as an ongoing operating cost, not a one-off expense incurred only for the initial application.

If clients refer to any service estimates such as “10 to 12 months” or “more than 3 to 4 months”, these may only be presented as non-governmental project estimates by a consultant, and must be stated separately from government approval and government fees.

Budget reviews should include a contingency reserve for regulatory requests for additional information, facility adjustments, extra validation or staff cover, rather than achieving apparent savings by cutting back on the quality system.

MODULE 09

Renewal, ongoing compliance, and changes to personnel/premises

A standard Manufacturer of Pharmaceutical Products Licence is valid for one year and may be renewed annually; this information must not be extrapolated to mean that all medicine-related licences are valid for one year. Renewal is not automatic and is subject to ongoing compliance during the licence period with GMP, personnel, premises, records and licence conditions. Before implementing changes to company details, personnel or premises, determine whether notification or prior approval is required.

MattersSpecific requirements and preparationRegulatory position/cautions
Annual renewalSet up a renewal calendar, assign responsibilities and prepare a pre-assessment checklist. Review licence particulars, registration of key personnel, training/CPD, deviations and CAPA, complaints and recalls, and self-inspection records well in advance.Statutory/official information: A standard manufacturer’s licence is valid for one year and may be renewed annually; this should not be generalised to other licence types.
Company name and addressBefore changing the company name, address or other licensed particulars, check whether the change affects the licence, on-site documents, product labels, quality agreements or regulatory correspondence details.Regulatory requirement: changes to business particulars should be notified to the Manufacturers Regulation Unit; the specific procedure should be confirmed according to the nature of the change.
Replacement of key personnelComplete the qualification assessment, application, training and handover of responsibilities before replacing the AP, production manager or QC manager, to avoid any gap in qualified personnel coverage.Statutory/application requirements: Changes to key personnel require the prior approval of the Manufacturer Licence Committee.
Changes to manufacturing premisesRelocation, expansion, changes to production or testing areas, key utility systems or layouts that affect quality should be preceded by a quality risk assessment, change control and an application package.Statutory/application requirements: Changes to premises that may affect quality require prior approval; final approval must be obtained before implementation, and an inspection may be conducted.
Ongoing inspection preparationMaintain the retrievability of version-controlled SOPs, on-site records, validation status, training records, equipment maintenance, storage status, CAPA and management quality reviews.Regulatory review: inspections focus on evidence of ongoing operation, not just system documents submitted at the application stage.

Recommendation: establish a “change classification table” that separately identifies approval, notification, validation and labelling implications for changes to company details, key personnel, premises, processes, equipment, product registration particulars and the quality system.

Other licences, such as those for the manufacture of dangerous drugs, may have different validity periods and competent authorities. If the activities involve such products, check the requirements separately; do not apply the renewal rules for this licence.

MODULE 10

Acquisition due diligence, change of control and handover

The value of acquiring a licensed business lies not only in the licence itself, but in the approved entity’s ability to continue operating, the premises, key personnel, the GMP quality system, continuity of product registrations and historical compliance records. Official materials do not identify a 100% share acquisition as the only way to obtain or take over a licence, nor do they provide that a change of shareholders or directors automatically transfers a licence. The transaction should identify, item by item, any facts that trigger a notification, require prior approval or require evidence to be re-established.

MattersSpecific requirements and preparationRegulatory position/cautions
Licence and applicant entity verificationCheck the licensed entity’s name, premises address, licence status, validity period, conditions, inspection and remediation history, risk of suspension or revocation, and consistency with the assets proposed for acquisition.Key due diligence point: a manufacturer's licence must not be treated as an asset that can be freely sold separately from the licensed entity and premises.
Retention of key personnelConfirm the qualifications, registration/approval status, employment arrangements, willingness to hand over duties, cover arrangements and evidence of actual performance of duties for the AP, production supervisor and QC supervisor.Applicable conditions: personnel changes require prior approval; there should be no gap in critical quality responsibilities on the transaction completion date.
Quality and product due diligenceSample and review validation status, batch production and QC records, AP release, deviations / OOS, CAPA, complaints, recalls, stability, supplier audits and data integrity risks.Recommendation: assess GMP maturity using a traceable batch chain, not merely a list of system documents; product registration must correspond to the actual manufacturing information.
Premises and contract due diligenceCheck the lease, land-use restrictions, equipment ownership and maintenance, environmental systems, warehousing/logistics, outsourced testing, quality agreements, and outstanding change-control matters.Applicable conditions: if the premises need to be relocated, expanded or refurbished after the transaction, allow for regulatory approval and inspection under the premises-change procedure.
Completion and regulatory communicationPrepare pre- and post-completion checklists covering updates to licence information; assessment of the impact of changes to directors / shareholders; applications, notifications or approvals for key personnel; transfer of SOP permissions; record retention; inventory batches and customer communications.Regulatory requirement / preparation recommendation: confirm the case with the Manufacturers Regulation Unit before designing the transaction; avoid making an actual change to key compliance facts before obtaining any required approval.
Transitional operationsEstablish an escalation route to an independent quality lead, continuity of batch release, recall contacts, system access and data backups, and agree on mechanisms for handling historical deficiencies and product liability.Recommendation: handover should prioritise product quality and patient safety; commercial completion documents cannot replace on-site quality controls.

Any restructuring of shareholding, directors or business does not necessarily invalidate a licence, nor does it entitle the buyer to take over unconditionally. Each case must be assessed according to whether it affects licence particulars, premises, key personnel, licence conditions or compliance facts.

If the acquisition includes proprietary Chinese medicines, wholesale, external packaging, dangerous drugs or product registration matters, prepare a separate licence / registration list for each. Do not treat a single manufacturer’s licence as covering all rights.
