Q222 · Category E: Application Process and Approval Procedures (Q201-Q250)
This is a crucial question: determining whether your product is “food” or “medicine” is the first step. In Hong Kong, if your product meets the definition of a “proprietary Chinese medicine” under the Chinese Medicine Ordinance—that is, its active ingredients consist solely of Chinese herbal medicines and it is intended to diagnose, treat or prevent disease or regulate the functions of the human body—you need to apply for a Manufacturer of Proprietary Chinese Medicines Licence and comply with the GMP requirements for proprietary Chinese medicines. If the ingredients are not regarded as Chinese herbal medicines, or the health claims made do not involve therapeutic effects, the product may be classified as “food” or “health food” and regulated by the Centre for Food Safety (CFS), without requiring a pharmaceutical licence. However, the dividing line may be unclear.

📘 Regulatory basis

The Business Registration Ordinance (Cap. 310) requires anyone carrying on business in Hong Kong to obtain business registration. The Department of Health’s licensing guidance also expressly requires applicants to be Hong Kong legal entities.

📗 Drew Tang's recommendations

We provide many international pharmaceutical companies with a one-stop service for establishing a presence in Hong Kong. We will promptly handle the registration of your Hong Kong company and provide professional advice on its shareholding structure, director appointments and other matters, ensuring that it is consistent with the parent company's global strategy and meets local Hong Kong regulatory requirements. We will ensure that the company establishment and licence application processes dovetail seamlessly, saving you valuable time.

📕 Risk notice

The risk lies in misunderstanding the requirement for a Hong Kong legal entity. Some overseas companies may assume that they can apply directly using their globally recognised parent company’s brand, delaying the establishment of a Hong Kong subsidiary. This will delay the entire project timeline, because all subsequent steps, such as signing a tenancy agreement, must be carried out in the name of the Hong Kong company.
