Drug Office, Department of Health Chinese Medicines Board

Q112 · Category C: Applicant eligibility and personnel requirements (Q101–Q150)
Yes, this is necessary. Under the Companies Ordinance (Cap. 622), any overseas company wishing to carry on business in Hong Kong must register as a “registered non-Hong Kong company”. However, registration as a non-Hong Kong company alone is generally insufficient when applying for licences such as those for pharmaceutical wholesalers, manufacturers or pharmacies. The regulator (the Drug Office, Department of Health) requires the licence holder to be a legal entity incorporated in Hong Kong, namely a Hong Kong-incorporated limited company. This is because the regulator needs to oversee and enforce the law against an entity with a clear legal status and assets in Hong Kong. Accordingly, the standard approach is for the overseas company first to incorporate a wholly owned or joint venture local limited company in Hong Kong, and then submit the licence application in the name of that Hong Kong company.

📘 Regulatory basis

The Pharmacy and Poisons Ordinance (Cap. 138) requires licence holders to be entities with an actual business presence in Hong Kong. In practice, the Drug Office generally requires applicants to be limited companies incorporated in Hong Kong under the Companies Ordinance, to facilitate jurisdiction and accountability.

📗 Drew Tang's recommendations

We provide overseas clients with a one-stop service, from establishing a Hong Kong limited company to preparing a business plan, finding compliant business premises, recruiting key personnel, submitting a licence application and communicating with the regulatory authorities. Establishing a local company is the first and most critical step in the overall compliance setup.

📕 Risk notice

Applications made directly in the name of an overseas parent company, or through a registered non-Hong Kong branch alone, will be refused because the applicant does not meet the eligibility requirements. This would waste considerable time and resources. You must strictly follow regulatory requirements and use a locally incorporated Hong Kong company as the applicant entity.
