Renewal fees differ between licence types. For example, the current renewal and issue fee for a Western medicine Wholesale Dealer Licence is HK$2,150, while the renewal fee for a Listed Seller of Poisons is lower. The key point is that the legislation does not provide for “late filing fines”. If you miss the deadline for submitting a renewal application before the licence expires, the consequence is not a fine; the licence simply becomes invalid. This means you must stop business immediately and submit a completely new licence application. The overall process and cost are far greater than those of timely renewal. Renewal must therefore be treated as a top priority.

📘 Regulatory basis

Fees for each licence are prescribed by the relevant subsidiary legislation and may be adjusted from time to time. Mandatory licence renewal deadlines are set out in core legislation such as the Pharmacy and Poisons Regulations.

📗 Drew Tang's recommendations

The fee itself is a minor matter, but the deadlines behind it are critical. Rengangyongsheng’s client management system sends multiple advance renewal reminders to clients who have signed up and helps prepare documents, to avoid the disastrous consequences of business interruption caused by a moment’s oversight.

📕 Risk notice

Do not mistake renewal failure for a fine-related issue. Continuing to operate after a licence has lapsed constitutes the criminal offence of operating without a licence and may lead to prosecution, with serious consequences.

Q413 · 我们持牌公司的注册名称变更了,需要通知药物办公室吗?独立链接
Yes, you must notify the authority. After your company has registered its name change with the Companies Registry in Hong Kong, you should notify the Drug Office, Department of Health (or the Chinese Medicine Council, if applicable) in writing as soon as possible. You will need to provide a copy of the “Certificate of Change of Name” issued by the Companies Registry, together with the updated Business Registration Certificate. The regulatory authority needs to ensure that the legal name of the licensed entity in its records exactly matches the official records. This is essential for the validity of the licence and future renewal applications.

📘 Regulatory basis

Although this is an administrative change, licence holders are obliged to ensure that all information submitted to the regulator is up to date and accurate; this is one of the licence conditions.

📗 Drew Tang's recommendations

This step is simple but easy to forget. We recommend that any change to statutory particulars, such as the company name, address or directors, be included in the company’s standard change management process, with a designated person notifying all relevant regulatory authorities as soon as possible.

📕 Risk notice

Failure to update the company name promptly may result in regulatory correspondence not being delivered or raise questions during renewal review because the information does not match, causing unnecessary delays.

This depends on the circumstances. When assessing a licence application or renewal, the regulator will assess whether all the company’s directors are “fit and proper persons”. If a director’s criminal record involves dishonesty, fraud, or offences related to medicines or public safety, the regulator is highly likely to consider that director not to be a “fit and proper person”. This may directly result in a new licence application being refused or cause problems with renewal of an existing licence. The impact may be smaller if the record relates to a minor offence unrelated to the company’s business or integrity, such as a minor traffic offence.

📘 Regulatory basis

The “Fit and Proper Person” principle is a cornerstone of regulation for all financial and professional licences in Hong Kong, and the medicines sector is no exception.

📗 Drew Tang's recommendations

It is essential to conduct background checks before appointing new directors or bringing in new shareholders. We recommend that clients include a clause in the company’s articles of association requiring directors to declare any criminal convictions. If in doubt, it is best to seek the regulatory authorities’ views anonymously in advance.

📕 Risk notice

Attempting to conceal a director's criminal record is extremely unwise. The regulatory authority conducts background checks during its review. If inaccurate declarations are discovered, the application will not only be refused but may also seriously affect the company's future integrity record.

If a Department of Health inspector finds during a renewal inspection that your pharmacy does not comply with the Code of Practice for Authorised Sellers of Poisons, the subsequent process will depend on the seriousness of the non-compliance. For minor shortcomings, such as incomplete records or a small number of items being stored incorrectly, the inspector will usually issue an oral or written warning and require you to make corrections within a specified period. However, if a serious breach is found, such as storage conditions that fall significantly short of requirements, poor management of prescription medicines or a safety hazard, the Drug Office may suspend processing of your renewal application until you have completed all necessary corrective actions and passed a follow-up inspection. In the worst case, if the breach is extremely serious, disciplinary proceedings may be initiated.

📘 Regulatory basis

Renewal is conditional on the licence holder continuing to meet all legislative and Code of Practice requirements. Inspections are the statutory means by which regulators verify this.

📗 Drew Tang's recommendations

We recommend that clients conduct a comprehensive internal self-inspection before submitting a renewal application. RGYS can provide mock inspection services to identify potential issues in advance from the regulator's perspective and guide you in implementing corrective measures. RGYS may assist with document preparation and project coordination within the written scope of services; the respective responsible parties must verify personnel qualifications and statutory roles and take responsibility for professional judgements, while approval is determined independently by the competent authority.

📕 Risk notice

Do not wait until an inspection to discover problems. If your renewal application is delayed because serious non-compliances have not been corrected promptly, your business will have to suspend operations once the existing licence expires, resulting in direct financial losses.

Q441 · 我的西药批发商牌照续期申请被拒绝了,主要可能是什么原因?独立链接
Refusal of a renewal application is uncommon but has serious consequences, and usually stems from fundamental compliance issues. The most common reasons include serious breaches during the previous licence period, such as repeated warnings or disciplinary action; major deficiencies identified during the renewal inspection that were not corrected promptly, particularly in the Quality Management System (QMS), medicine traceability or storage conditions; the company or one of its key personnel being convicted of a criminal offence, leading the regulator to consider it no longer a ‘fit and proper’ licence holder; or failure to provide key documents required for the renewal review, such as a valid Business Registration Certificate or SOP documents meeting GDP requirements.

📘 Regulatory basis

When assessing renewal applications, the regulatory authority comprehensively evaluates the licence holder’s compliance throughout the licence period to determine whether it remains suitable to hold the licence.

📗 Drew Tang's recommendations

The best way to avoid renewal refusal is to maintain ongoing compliance in day-to-day operations. Our annual compliance consultancy service for clients is intended to keep their operations inspection-ready through regular reviews and follow-up, and to eliminate renewal risks at source.

📕 Risk notice

If a renewal application is refused, it is equivalent to revocation of the licence and your business must cease immediately. This is not only a major commercial setback; it also means that the compliance credibility you have built up is gone.
